1. Scope and acceptance

These Terms of Service govern access to and use of AZTEQ Metaverse websites, Virtua, Life, Xolo, Planet, online services, hosted applications, related digital services, and other products or services made available by AZTEQ Metaverse, a division of AMG Nederland BV, unless a separate written agreement expressly overrides them.

Where a quotation, order form, statement of work, service pack, enterprise agreement, license addendum or other written agreement applies, that document supplements these Terms. If there is a direct conflict, the specifically agreed written term prevails for the subject it covers.

Use of a service after these Terms are presented may constitute acceptance where permitted by applicable law. Business customers may also accept through an order, assignment, signed agreement or other written confirmation.

2. Services and product model

AZTEQ Metaverse develops and operates advanced software and spatial-computing products, including browser-based virtual worlds, creator tools, Bitcoin and Lightning-enabled experiences, Nostr-based identity features, Move/Avenge execution, Super Intelligence tools and physical-digital systems.

Features may be introduced, changed, limited, suspended or retired as the software evolves. Descriptions, demonstrations, roadmaps, benchmarks and previews are informational unless a written order or agreement makes a specific deliverable binding.

3. Identity, credentials and self-custody

Users are responsible for credentials, private keys, passkeys, wallet access, Nostr keys and other authentication material they control. Where a service is non-custodial, AZTEQ Metaverse does not possess the secret needed to recover a lost self-custodied credential.

You must not impersonate another person or entity, obtain access through false credentials, or use another person’s keys, accounts or permissions without authorization.

4. Offers, orders and custom work

Unless expressly stated otherwise, quotations and offers are invitations to contract and become binding when accepted or confirmed in writing by AMG Nederland BV or AZTEQ Metaverse. Prices exclude VAT and other applicable taxes, duties or third-party charges unless the offer states otherwise.

Custom development, non-standard software, integration and consultancy are performed on the basis of the agreed specification and are generally best-efforts obligations unless a written agreement states a guaranteed result. Changes requested after approval may affect price, planning and delivery.

Customers are responsible for supplying accurate and timely information, materials, access and approvals needed to perform the agreed work. Delays or additional work caused by incomplete or changed customer inputs may be charged where this is included in the applicable offer or agreement.

5. Fees and payment

Fees, billing periods, payment methods and due dates are stated in the applicable checkout, order form, invoice or written agreement. Where no other term is stated for a business invoice, payment is due within 14 days of the invoice date.

A service may support payment in euros, Bitcoin or another method expressly offered for that transaction. A supported payment method does not create an investment relationship and does not imply that AZTEQ Metaverse guarantees the value of Bitcoin or any other digital asset.

Network, wallet, bank, exchange, routing or similar third-party charges may apply and remain the responsibility of the user or customer unless expressly included.

6. Hosting, availability and changes

AZTEQ Metaverse uses commercially reasonable efforts to operate hosted services and applications, but uninterrupted availability is not guaranteed. Availability can be affected by maintenance, internet routing, power, browsers, hardware, third-party services, distributed networks, security incidents or circumstances outside reasonable control.

Services may be temporarily restricted or taken offline for maintenance, security, upgrades or incident response. Where a paid service includes a specific service level, the applicable service pack or written agreement governs that commitment.

7. Acceptable use

You may not use AZTEQ Metaverse services to violate applicable law, infringe third-party intellectual-property or privacy rights, distribute malware, conduct unauthorized access or security attacks, interfere with infrastructure, send unlawful spam, deceive users, or publish content whose distribution is unlawful.

You may not bypass access controls, safety mechanisms, age restrictions, technical protection measures or usage limits, or use the services to obtain unauthorized access to systems, wallets, accounts, models, files or data.

User-generated spaces, maps, venues, Allures, Life Titles, messages and other content remain subject to moderation, access control and service-specific rules. AZTEQ Metaverse may restrict or remove content or access where reasonably necessary to address unlawful activity, abuse, security risk, rights infringement or material breach of these Terms.

8. User content and permissions

You retain rights you already hold in content you create or upload, subject to the rights of third parties and the licenses required by the service. You represent that you have the permissions needed to provide and use that content.

Where technical operation requires AZTEQ Metaverse to host, cache, transform, render, transmit or display user content, you grant the limited rights necessary to perform those functions for the duration and scope of the service.

A Move resource, Nostr event, digital twin or other digital record does not by itself create rights in third-party intellectual property or physical property that the user did not otherwise possess.

9. Bitcoin, Lightning and digital assets

Bitcoin is the user-facing monetary asset used within the current One Metaverse architecture, and Lightning may be used for interactive settlement. Bitcoin transactions can be irreversible and its fiat value can fluctuate materially. Lightning payments additionally depend on routing, liquidity, wallets and network conditions.

AZTEQ One is the native execution coin of Avenge and is used for execution accounting inside the network. It is not presented by current AZTEQ Metaverse services as a public fundraising token, stablecoin, reserve-backed redemption instrument or replacement for Bitcoin.

Unless a separate written agreement expressly states otherwise, nothing in the services constitutes an offer, recommendation or solicitation to buy an investment, security, crypto-asset or financial instrument.

10. Third-party technologies and services

AZTEQ Metaverse can interoperate with third-party networks, wallets, relays, models, browsers, identity providers, hosting services, open-source projects, hardware and partner services. Those systems remain subject to their own terms, licenses, availability and technical behavior.

AZTEQ Metaverse is not responsible for independent changes, outages, defects, policies or acts of third-party services except to the extent responsibility cannot lawfully be excluded.

11. Intellectual property and open-source software

AZTEQ Metaverse, AMG Nederland BV and their licensors retain their rights in proprietary software, documentation, trademarks, designs, branded assets and other protected material. Partner names and logos remain the property of their respective rights holders.

Open-source software is governed by its applicable open-source license. Source code published by AZTEQ Metaverse under the MIT License remains governed by the MIT License even where a separate commercial EULA applies to other software, services, assets or proprietary distributions.

No service term grants a license to third-party trademarks, characters, branded artwork, models, music, video or other protected assets beyond the rights expressly provided for the intended service context.

12. Suspension and termination

AZTEQ Metaverse may suspend or terminate access where reasonably necessary because of material breach, non-payment, security risk, unlawful conduct, infringement, abuse or a legal obligation. Where appropriate and practicable, a user or business customer may be given notice or an opportunity to remedy a breach.

Termination does not erase rights and obligations that by their nature survive, including payment obligations, intellectual-property rights, confidentiality duties, limitations of liability and provisions governing disputes.

13. Warranty and disclaimer

Except for an express warranty stated in a written order, EULA or service agreement, services are provided on an “as is” and “as available” basis to the maximum extent permitted by law. AZTEQ Metaverse does not warrant that every service will be uninterrupted, error-free, compatible with every device or third-party system, or suitable for every user’s intended purpose.

Mandatory statutory warranties and consumer rights that cannot legally be excluded remain unaffected.

14. Limitation of liability

To the maximum extent permitted by applicable law, AZTEQ Metaverse and AMG Nederland BV are not liable for indirect, incidental, special, punitive or consequential losses, including loss of profit, goodwill, business opportunity or data, arising from use of the services.

For paid business services, aggregate liability for direct damages is limited to the amount paid for the affected service during the period giving rise to the claim, unless a written agreement provides another cap or the law does not permit such limitation.

Nothing in these Terms excludes liability that cannot lawfully be excluded, including liability arising from intent or gross negligence where applicable.

15. Force majeure

Neither party is responsible for delay or failure caused by events outside its reasonable control, including major network failures, power failures, natural disasters, embargoes, governmental action, labor disruption, widespread third-party outages or comparable events. Payment obligations for services already supplied remain due unless applicable law or a written agreement provides otherwise.

16. Changes to these Terms

AZTEQ Metaverse may update these Terms to reflect changes in products, law, security, operations or business practices. The version and effective date shown in this Legal Terms Collection identify the currently published terms.

Material changes may be communicated through the website, product interface, email or another appropriate channel. Continued use after a change takes effect constitutes acceptance where permitted by applicable law.

17. Governing law and disputes

These Terms are governed by the laws of the Netherlands. Business disputes are submitted to the competent court in ’s-Hertogenbosch, the Netherlands, unless the parties have agreed otherwise in writing.

For consumers, mandatory consumer-protection rules and any mandatory jurisdiction rights that apply in the consumer’s country of residence remain unaffected.
